Terms of Service

These terms are a contract between you and NewMent Inc., 1810 Prosser Ave #4, Los Angeles, CA 90025 ("NewMent", "we", "us"), which runs Pixaaa. By creating an account or using Pixaaa you agree to them. If you don't agree, don't use the service.

1. Who can use Pixaaa

Pixaaa is a tool for selling goods as a business. You must be at least 18 and able to enter a binding contract. If you sign up for a company, you confirm you're allowed to bind it to these terms, and "you" means the company too. Keep your login private. You're responsible for what happens under your account, including what your team members do.

2. Your photos, listings and items

For everything you upload or publish through Pixaaa, you promise that:

• you took the photos yourself or have the rights to use them, and the same goes for any listing text you add;
• nothing you upload infringes someone else's copyright, trademark, privacy or publicity rights;
• the items are yours to sell, are accurately described, and are legal to sell where you list and ship them (no counterfeits, stolen goods, recalled products, weapons or anything a marketplace bans).

You keep ownership of your content. You give NewMent a non-exclusive, worldwide, royalty-free license to store, copy, edit, resize, analyze and display it, and to publish it to the marketplaces and channels you connect, for as long as needed to run Pixaaa for you. That license ends when you delete the content or your account, except for copies already published to a marketplace or kept in routine backups for a limited time.

3. Marketplaces are your responsibility

When you connect eBay, Shopify, Etsy, Pinterest or another channel, Pixaaa acts on your instructions in your account. You are the seller. You agree to follow each marketplace's rules, fees and policies, and you deal with your buyers, returns, disputes and taxes. We aren't a party to your sales. If a marketplace removes a listing, suspends your account or changes its API, that's between you and the marketplace, and some Pixaaa features may stop working as a result.

4. AI drafts and prices can be wrong

Pixaaa uses AI to identify items, write titles and descriptions, edit photos and estimate prices. It gets things wrong: brands, sizes, materials, condition, value. Read every draft before you publish it. You are responsible for what your listings say. Price estimates are suggestions based on comparable listings, not appraisals, and we don't promise any item will sell or sell for that price.

5. Fees and plans

Pixaaa is invite only and free to use while it is. There is nothing to buy today. If we introduce paid plans, we will tell you well before they start, and we won't charge you unless you choose to sign up for one. Shipping labels you buy through Pixaaa are charged at the price shown when you buy them. Marketplace fees are set and charged by the marketplace. If we add paid features later, we'll show the price before you agree to pay it.

6. Acceptable use

Don't use Pixaaa to:

• list counterfeit, stolen, illegal or prohibited goods, or misdescribe what you're selling;
• upload content you don't have the rights to, or that is unlawful, hateful or sexually explicit;
• spam marketplaces or buyers, or get around a marketplace's limits or bans;
• break into, probe, overload or reverse engineer the service, or scrape it with bots;
• resell or share access to Pixaaa without our written permission.

7. Copyright complaints and repeat infringers

We respond to copyright notices under the Digital Millennium Copyright Act. See our DMCA Policy for how to send one. We will close the accounts of users who repeatedly infringe.

8. Our service

Pixaaa, its software and its design belong to NewMent. We may change, add or remove features. We use third-party providers, listed in our Privacy Policy, to run it.

9. Disclaimers

Pixaaa is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise the service will be uninterrupted or error-free, that AI output will be accurate, or that a marketplace will accept your listings.

10. Limit of liability

To the extent the law allows, NewMent is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost sales, lost data or marketplace account suspensions. Our total liability for any claim about Pixaaa is limited to the greater of $100 or the amount you paid us in the 12 months before the claim.

11. Indemnity

You will defend and cover NewMent, and its officers, employees and contractors, against claims, losses and costs (including reasonable attorneys' fees) that come from your content, your items, your listings, your sales, or your breach of these terms or any law or marketplace rule.

12. Ending your account

You can stop using Pixaaa at any time and ask us to delete your account at [email protected]. We may suspend or close your account if you break these terms, put other users or marketplaces at risk, or if we stop offering the service. Sections 2 (license for published copies), 4, 9, 10, 11 and 14 survive termination.

13. Changes to these terms

We may update these terms. We'll change the date above, and for material changes we'll email you or show a notice in the app before they take effect. Using Pixaaa after that means you accept the new terms.

14. Governing law

California law governs these terms, without regard to its conflict-of-law rules. Any dispute goes to the state or federal courts in Los Angeles County, California, and you and NewMent both consent to that venue.
